Terms & Conditions

Effective Date: October 25, 2026

1. Scope, Acceptance, and Customer Agreements

These Terms & Conditions (“Terms”) govern access to the GrubIQ website, demonstrations, applications, and services (the “Services”) made available by TARIY, Inc. d/b/a GrubIQ (“GrubIQ,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms to the extent permitted by applicable law.

If your organization has a signed master services agreement, order form, pilot agreement, or data processing agreement with GrubIQ, that agreement controls over these Terms in the event of a conflict concerning the contracted Services. An individual employee's use does not, by itself, authorize the employee to assume payment or other commercial commitments on behalf of an organization.

2. The Services

GrubIQ offers restaurant operating intelligence and shift-execution technology focused on throughput, labor deployment, operational bottlenecks, recommended next actions, voice-enabled assistance, and outcome verification. Depending on the purchased package, Services may include integrations with POS, order, scheduling, labor, device, or authorized camera systems, together with historical analysis and scenario modeling.

Capabilities vary by customer, device, integration, pilot phase, and service plan. Website demonstrations and simulations may use fictional, illustrative, simulated, or modeled data and should not be interpreted as verified customer results or a promise of generally available functionality.

3. Accounts, Authorized Use, and Access

You must provide accurate account information, protect account credentials, use the Services only with appropriate authorization, and promptly report suspected compromise. Enterprise customers control which personnel may access their environments and are responsible for appropriate access provisioning, device use, and internal procedures. We may restrict or suspend access reasonably necessary to protect the Services, customers, or other users.

4. Customer Data and Permitted Processing

As between GrubIQ and a customer, the customer retains its rights to information provided or made available through authorized integrations (“Customer Data”). The customer grants GrubIQ a limited right to access, host, transform, analyze, transmit, and otherwise process Customer Data as needed to provide the agreed Services, secure and support those Services, and comply with law, subject to the applicable customer agreement.

GrubIQ may use appropriately aggregated or de-identified information for service quality, benchmarking, and improvement where legally permitted and not restricted by a customer agreement. We do not acquire ownership of Customer Data. Personal information is addressed further in our Privacy Policy and, when applicable, a signed data processing agreement.

5. AI Outputs, Decisions, and Human Control

Recommendations, speech responses, predictions, estimated impacts, and model-generated explanations are decision-support outputs, not guaranteed facts. Results depend on the completeness, freshness, and quality of available inputs, and may be inaccurate or unsuitable for a particular shift. Historical observations, simulated scenarios, estimates, and verified outcomes are different types of information.

Customer-designated personnel remain responsible for staffing assignments, employment decisions, safety, labor-law compliance, and physical execution in restaurants. GrubIQ does not independently employ or supervise restaurant staff. Where an integration can initiate a customer-authorized workflow, permissions, approvals, and limitations are governed by the relevant configuration and customer agreement. Customers should verify material recommendations before acting.

6. Third-Party Integrations and Devices

Customers must have the necessary rights and permissions to connect POS, order, scheduling, labor, audio, camera, and other systems. Availability and accuracy depend on external vendors, network connectivity, device compatibility, and data access. Third-party systems are subject to their own terms and policies; GrubIQ does not guarantee their uptime, security, or continued availability.

7. Workplace Privacy and Lawful Deployment

Customers are responsible for notices, permissions, legal bases, and consents required for their use of the Services in workplaces, including any applicable audio-recording, camera, data-protection, labor, and employment requirements. GrubIQ is designed to support operations through store, role, station, coverage, queue, and workload signals rather than facial recognition, biometric identification, or individual employee productivity scoring.

8. Acceptable Use

You may not use the Services to violate law or the rights of others; access data or systems without authorization; interfere with security or operation; upload malicious code; abuse or bypass access controls; attempt to extract underlying models or proprietary code except as permitted by applicable law; or use the Services to make unlawful, discriminatory, or unsafe decisions. You must not submit sensitive personal information unrelated to authorized restaurant workflows.

9. Intellectual Property and Feedback

GrubIQ and its licensors retain all rights in the Services, software, workflows, content, interfaces, and underlying technology. Subject to these Terms and any applicable contract, users receive a limited, non-exclusive, non-transferable right to access the Services for their authorized purposes. No rights are granted except those expressly stated.

If you voluntarily provide suggestions about the Services, we may use them to improve the Services without obligation to you, provided we do not disclose Customer Data or confidential information contrary to an applicable agreement.

10. Confidentiality

Each party will use reasonable care to protect the other party's nonpublic business or technical information disclosed in confidence and will use that information only for the permitted relationship, subject to usual exceptions for publicly available, independently developed, or lawfully obtained information. A signed confidentiality or enterprise agreement supersedes this section where the two conflict.

11. Fees and Commercial Terms

Fees, trial or pilot scope, onboarding, payment schedules, service levels, subscription term, renewal, and cancellation terms are governed by a signed order or customer agreement when applicable. Public website content does not itself create a binding price quote or service-level commitment.

12. Availability, Changes, and Experimental Features

We aim to operate the Services with commercially reasonable care, but maintenance, interruptions, integration outages, and technical limitations can occur. Pilots, prototypes, simulations, previews, and experimental features may change, be unavailable, or be discontinued. We may make changes necessary for performance, security, legal compliance, or product evolution, subject to commitments in a signed customer agreement.

13. Warranties and Disclaimers

Except for express warranties in a signed customer agreement and to the extent permitted by law, the Services are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted operation, perfect accuracy, particular savings, improved margins, or any specific operational or financial outcome.

14. Limitation of Liability

To the maximum extent permitted by law and except where a signed customer agreement provides otherwise, GrubIQ is not liable for indirect, special, incidental, consequential, exemplary, or punitive damages, or lost profits or business opportunities arising from the Services. GrubIQ's aggregate liability for claims relating to paid Services under these Terms will not exceed the amounts paid to GrubIQ for the affected Services during the 12 months preceding the event giving rise to the claim. These limitations do not apply where prohibited by law.

15. Suspension and Termination

We may suspend access for material misuse, security threats, legal requirements, or nonpayment under an applicable commercial agreement. Subscription expiration, termination rights, and return or deletion of Customer Data are governed by the relevant customer agreement and retention obligations. Obligations that by their nature should survive termination will survive.

16. Governing Law and Disputes

Unless a signed customer agreement provides otherwise, these Terms are governed by Delaware law, without regard to conflicts-of-law rules. The parties will first attempt in good faith to resolve disputes through written notice to legal@grubiq.co. If unresolved, disputes subject to an enforceable arbitration agreement will be resolved by individual binding arbitration under the applicable rules of the American Arbitration Association, except where law provides otherwise. To the extent permitted by law, claims will not proceed on a class or representative basis. This section does not waive rights that cannot lawfully be waived.

17. Updates to These Terms

We may revise these Terms by posting an updated version with a new effective date. Material changes affecting existing paid customers will be handled under the applicable customer agreement and any legally required notice. Continued use after an effective update constitutes acceptance only to the extent permitted by applicable law.

18. General and Contact

If a provision is unenforceable, the remaining provisions remain in effect to the extent legally permissible. Our failure to enforce a term does not waive our rights. These Terms do not create an employment, agency, or partnership relationship between GrubIQ and a user. Questions or legal notices may be sent to legal@grubiq.co.
